These Terms and Conditions explain the rules, responsibilities, and conditions that apply when using our website, products, services, and technology solutions.
1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the website, services, products, solutions, and other offerings provided by AhamVerse Technologies Pvt. Ltd. ("AhamVerse Technologies", "AhamVerse", "we", "us", or "our").
These Terms apply to website visitors, prospective clients, clients, customers, businesses, organisations, partners, and other persons or entities that interact with AhamVerse Technologies.
By accessing our website, submitting an enquiry, requesting a quotation, approving a proposal, making a payment, purchasing a product, engaging our services, or otherwise entering into a business relationship with AhamVerse Technologies, you acknowledge that you have read and understood these Terms.
Certain projects, products, or services may also be governed by a quotation, proposal, Statement of Work (SOW), purchase order, service agreement, Non-Disclosure Agreement (NDA), maintenance agreement, licensing agreement, or other written contract. Where such an agreement contains specific terms applicable to a project, those specific terms will apply to that project and, in the event of a direct conflict, will generally take precedence over these general Terms to the extent of that conflict.

4. Enquiries and Requests for Quotation
Information submitted through our website, contact forms, Request a Quote form, email, telephone, messaging platforms, meetings, or other communication channels may be used to understand and evaluate your requirements.
Submission of an enquiry or quotation request does not by itself create a contractual relationship or obligate AhamVerse Technologies to accept or perform the requested project.
We reserve the right to accept, decline, request additional information about, or propose modifications to any project or requirement before entering into a formal engagement.
5. Quotations, Proposals and Estimates
Project pricing, timelines, deliverables, technical specifications, milestones, and other commercial terms may be provided through a quotation, proposal, email, agreement, invoice, or other written communication.
Unless expressly stated otherwise, quotations and estimates are based on the information and requirements available to us at the time they are prepared.
A quotation may be revised if:
- The project scope changes
- Additional features or services are requested
- Technical requirements change
- Previously undisclosed requirements are identified
- Third-party costs change
- Hardware or component prices change
- Manufacturing quantities or specifications change
- Taxes, duties, shipping, or regulatory costs change
- Client-caused delays materially affect project execution
Unless a quotation specifies otherwise, quoted prices should not be assumed to remain valid indefinitely.
6. Project Scope and Deliverables
The scope of each project will be based on the deliverables, features, specifications, responsibilities, and assumptions agreed between AhamVerse Technologies and the client.
Only items expressly included in the approved scope, quotation, proposal, Statement of Work, or other written agreement should be considered part of the project.
Features, integrations, designs, hardware modifications, reports, documentation, source files, deployment work, manufacturing services, maintenance, training, support, or other deliverables not expressly included may be treated as additional work and quoted separately.
7. Change Requests and Additional Work
During a project, a client may request changes to the approved scope. We will evaluate such requests based on technical feasibility, effort, resources, dependencies, cost, and timeline.
A change request may result in:
- Additional charges
- A revised project timeline
- Changes to milestones
- Changes to technical architecture
- Changes to hardware specifications or component requirements
- Changes to manufacturing or procurement costs
We are not obligated to perform material work outside the agreed project scope without appropriate approval of the additional work and any associated commercial terms.
8. Client Responsibilities
Successful project delivery may depend on timely cooperation from the client. The client is responsible for providing information, decisions, materials, access, and approvals reasonably required for the project.
Depending on the project, this may include:
- Accurate project requirements
- Content, text, images, logos, and branding materials
- Technical documentation
- API documentation and access
- Hosting, server, or domain access
- Required credentials and test accounts
- Hardware specifications
- Reference products, samples, or prototypes
- PCB, CAD, mechanical, or manufacturing information
- Timely feedback and approvals
- Required payments
The client is responsible for ensuring that information and materials supplied to us are accurate, lawful, authorised, and suitable for their intended use.
9. Project Timelines
Project timelines are estimates unless a specific guaranteed delivery obligation is expressly agreed in writing.
Delivery schedules may be affected by factors including:
- Changes in project scope
- Delayed client feedback or approvals
- Delayed provision of content or credentials
- Third-party API or platform issues
- Hardware or component availability
- Manufacturing lead times
- Shipping or logistics delays
- Testing and debugging requirements
- Unexpected technical dependencies
- Regulatory or compliance requirements
- Events beyond our reasonable control
Where delays are caused by the client or third parties outside our reasonable control, project milestones and delivery dates may be adjusted accordingly.
10. Payments and Billing
Payment amounts, schedules, milestones, deposits, advance payments, and other billing terms will normally be specified in the applicable quotation, proposal, invoice, or agreement.
Depending on the project, we may require:
- An advance payment before work begins
- Milestone-based payments
- Payment before deployment or final delivery
- Payment before procurement of components or materials
- Payment before manufacturing or production begins
- Recurring payments for maintenance, hosting, subscriptions, or support
Unless otherwise agreed, invoices and payment requests should be paid within the period specified in the relevant commercial document.
We may suspend work, deployment, support, procurement, production, access, or delivery where an agreed payment remains overdue, subject to the applicable agreement and law.
11. Taxes, Duties and Third-Party Charges
Applicable taxes, duties, government charges, payment processing fees, shipping charges, customs charges, licensing fees, hosting costs, domain fees, advertising spend, third-party subscriptions, cloud usage charges, API charges, and similar expenses may be charged separately unless expressly included in the quotation.
The client is responsible for third-party recurring costs associated with services selected or required for the project unless expressly agreed otherwise.
12. Cancellations and Project Termination
A client wishing to cancel or terminate a project should notify us in writing.
Upon cancellation or termination, the client may remain responsible for:
- Work already completed
- Work in progress
- Approved project milestones
- Non-cancellable third-party expenses
- Purchased hardware or components
- Manufacturing expenses already committed
- Licensing or subscription charges already incurred
- Other reasonable project-specific commitments already made
AhamVerse Technologies may also suspend or terminate an engagement where there is material non-payment, unlawful activity, abusive conduct, prolonged non-cooperation, material breach of an agreement, security risk, or another legitimate reason that makes continued performance unreasonable or unlawful.
13. Refunds
Refund eligibility depends on the nature of the product, service, work completed, costs already incurred, and the specific commercial terms agreed for the engagement.
Payments relating to completed work, approved milestones, customised work already performed, third-party purchases, registrations, licenses, domains, cloud services, advertising spend, procured components, custom PCB fabrication, manufacturing, shipping, or other non-recoverable expenses may be non-refundable to the extent permitted by applicable law.
Where a project-specific refund or cancellation policy has been provided in a quotation, proposal, invoice, or agreement, that policy will apply to the relevant engagement.
14. Revisions and Approvals
Design, development, documentation, creative, or engineering work may include a defined number or type of revisions where specified in the applicable proposal.
Requests beyond the included revision scope, substantial redesigns after approval, or changes to previously approved work may be treated as additional work.
Once a milestone, design, specification, prototype, or other deliverable has been approved, subsequent changes may affect pricing and timelines.
15. Software Development and Testing
We aim to develop software according to the agreed specifications and to apply reasonable development and testing practices.
However, complex software may contain defects, compatibility issues, edge cases, or behaviour that becomes apparent only under particular environments or usage conditions.
Unless otherwise agreed, changes required because of new requirements, external platform changes, unsupported environments, third-party updates, or modifications made by persons outside AhamVerse Technologies may fall outside the original project scope.
16. Artificial Intelligence and Automated Systems
Certain projects may use artificial intelligence, machine learning, generative AI, automation systems, third-party AI models, or algorithmic technologies.
AI-generated or algorithmically produced outputs may be probabilistic and may contain errors, inaccuracies, inconsistencies, or unexpected results. Unless specifically agreed otherwise, such systems should not be treated as guaranteeing perfect accuracy or outcomes.
Clients are responsible for ensuring that AI-enabled solutions are used appropriately for their intended context, particularly where decisions may affect legal rights, safety, finances, employment, healthcare, or other high-impact matters.
17. Hardware, Electronics and Embedded Systems
Hardware and embedded projects may involve research, prototyping, firmware development, electronic components, sensors, microcontrollers, PCBs, communication modules, enclosures, mechanical components, power systems, and other physical elements.
Prototype hardware is developed primarily for validation, testing, demonstration, or development purposes unless it is expressly specified as a production-ready product.
Performance may depend on operating conditions, component tolerances, environmental conditions, power quality, connectivity, mechanical integration, installation, and other factors outside our direct control.
18. PCB Design, Fabrication and Assembly
PCB-related projects may include schematic design, PCB layout, design review, bill of materials preparation, fabrication files, assembly support, prototype fabrication, testing, or related engineering services.
Before production, the client may be asked to approve relevant specifications, designs, component selections, fabrication requirements, or prototypes.
Once custom PCB fabrication, assembly, or component procurement has commenced, changes may result in additional charges and may require new production runs.
19. Component Sourcing and Availability
Electronic component availability and pricing may change rapidly due to supplier inventory, market conditions, manufacturer discontinuation, logistics, import restrictions, or other supply-chain factors.
Where an originally selected component becomes unavailable, we may recommend a technically suitable alternative subject to client approval where appropriate.
Changes in component cost, availability, minimum order quantity, shipping, customs, or procurement requirements may affect the final project price and timeline.
20. Manufacturing and Production
Where manufacturing, assembly, or production support is included, specifications, quantities, materials, tolerances, testing requirements, packaging, and acceptance criteria should be agreed before production.
Prototype approval does not eliminate all manufacturing variation. Reasonable tolerances may occur between production units depending on materials, components, manufacturing processes, and industry practices.
Any specific regulatory certification, laboratory testing, compliance certification, environmental testing, safety certification, or specialised quality standard must be expressly included in the project scope if required.
21. Shipping, Delivery and Risk
Where physical products, prototypes, PCBs, components, or other goods are shipped, delivery times may depend on third-party logistics providers and are therefore not always within our direct control.
Shipping, insurance, customs, duties, and related costs may be charged separately unless expressly included.
Any responsibility for loss or damage during transportation will be determined according to the applicable shipping arrangement, carrier terms, insurance coverage, contractual terms, and applicable law.
22. Third-Party Software, APIs and Services
Projects may depend on third-party software, libraries, frameworks, APIs, cloud platforms, hosting providers, payment gateways, databases, plugins, operating systems, development tools, AI services, communication platforms, or other external services.
Such services are controlled by their respective providers and may be subject to separate terms, licenses, pricing, usage limits, policies, availability, and technical changes.
AhamVerse Technologies is not responsible for outages, discontinuation, policy changes, pricing changes, API changes, security incidents, or other failures originating from independent third-party services beyond our reasonable control.
23. Open-Source Software
Software solutions may incorporate open-source libraries, frameworks, packages, firmware, or other components where appropriate.
Open-source components remain subject to their respective licenses, and nothing in these Terms transfers ownership of such third-party components to the client or to AhamVerse Technologies beyond the rights granted by those licenses.
24. Intellectual Property and Ownership
Ownership of project-specific deliverables will be determined by the applicable quotation, proposal, agreement, license, or Statement of Work.
Unless otherwise agreed in writing, intellectual property owned or developed independently by AhamVerse Technologies before the project, including reusable frameworks, libraries, internal tools, utilities, development methods, templates, know-how, processes, generic modules, and similar background technology, remains the property of AhamVerse Technologies or its respective owner.
Third-party assets, fonts, libraries, software, stock materials, APIs, plugins, open-source components, and other licensed materials remain subject to their respective ownership and license terms.
Where ownership of custom project deliverables is to be transferred to a client, such transfer may be conditional upon full payment of all applicable project fees unless otherwise agreed in writing.
25. Source Code and Editable Project Files
Delivery of source code, firmware source, editable design files, PCB design files, CAD files, raw creative files, development repositories, build environments, or other editable project materials depends on the agreed scope.
The existence of a final product or deployed solution does not automatically imply that every internal working file, development tool, reusable module, credential, licensed asset, or proprietary internal resource is included in the deliverables.
26. Client-Provided Materials and Intellectual Property
Clients retain responsibility for materials they provide, including logos, trademarks, text, photographs, videos, datasets, software, source code, documents, designs, schematics, databases, product specifications, and other intellectual property.
By providing such materials, the client represents that it has the necessary ownership, permission, license, or authority for us to use them for the relevant project.
The client is responsible for claims arising from materials supplied by the client where AhamVerse Technologies has used those materials in accordance with the client's instructions, subject to applicable law and the relevant agreement.
27. Confidentiality
During a project, either party may receive confidential or commercially sensitive information belonging to the other party.
We aim to handle confidential client information responsibly and use it only for legitimate purposes related to the engagement.
Where enhanced confidentiality obligations are required, AhamVerse Technologies and the client may enter into a separate Non-Disclosure Agreement or include confidentiality provisions in the applicable project agreement.
28. Portfolio and Publicity
Unless confidentiality obligations, contractual restrictions, or client instructions prevent it, we may request permission to identify completed work in our portfolio, website, presentations, case studies, or marketing materials.
Confidential information, credentials, private source code, proprietary documentation, unpublished technical details, or other protected materials will not intentionally be disclosed publicly merely for portfolio purposes.
29. Hosting, Domains and Infrastructure
Where we assist with hosting, domains, cloud infrastructure, email, SSL certificates, servers, databases, or related services, third-party provider terms and fees may apply.
Clients are responsible for timely renewal of services owned or billed directly to them.
We are not responsible for interruption caused by expired third-party subscriptions, client-controlled account changes, provider outages, provider suspension, DNS issues, or other matters outside our reasonable control.
30. Credentials and Account Security
Clients should protect passwords, API keys, server credentials, administrative accounts, cloud credentials, database credentials, and other sensitive access information.
Where credentials are shared with us for project purposes, they should be limited to the access reasonably necessary for the project whenever possible.
After project completion, clients should review access, rotate credentials where appropriate, remove unnecessary accounts, and maintain appropriate security controls.
31. Deployment and Production Environments
Deployment responsibilities will depend on the project scope. Some engagements may include deployment by AhamVerse Technologies, while others may involve delivery of files, software, firmware, or documentation for deployment by the client or another provider.
Changes made to a deployed system by the client or third parties after delivery may affect functionality, security, compatibility, performance, or our ability to provide support.
32. Maintenance, Support and Updates
Unless expressly included in the project agreement, ongoing maintenance, upgrades, monitoring, content updates, server administration, software updates, feature development, security maintenance, technical support, hardware servicing, or similar post-delivery services are not automatically included indefinitely.
Ongoing support may be provided under a separate maintenance plan, Annual Maintenance Contract (AMC), retainer, support package, or other arrangement.
33. Warranty and Defect Correction
Where a specific warranty or defect-correction period is provided for a project or product, its duration and coverage will be stated in the applicable quotation, agreement, or warranty terms.
Unless otherwise agreed, warranty or defect correction does not generally include issues caused by:
- New feature requests
- Changes in client requirements
- Client or third-party modifications
- Improper installation or use
- Physical damage
- Electrical damage or unsuitable power conditions
- Unsupported operating environments
- Third-party platform changes
- API or external service changes
- Malware, unauthorised access, or compromised credentials outside our control
- Normal wear and tear of physical products
Specific statutory rights that cannot legally be excluded or restricted remain unaffected.
34. Digital Marketing and Advertising Services
Marketing services may include SEO, AEO, GEO, social media management, content creation, paid advertising, campaign management, strategy, and related services.
Marketing outcomes depend on many external factors, including competition, algorithms, advertising platforms, market conditions, audience behaviour, budgets, website quality, search engine changes, and client offerings.
Unless expressly guaranteed in writing, we do not guarantee specific search rankings, traffic volumes, leads, sales, revenue, advertising performance, follower growth, or other particular marketing results.
35. Prohibited and Unlawful Projects
AhamVerse Technologies reserves the right to refuse, discontinue, or terminate work that we reasonably believe involves unlawful activity, infringement, fraud, malicious software, unauthorised surveillance, harmful activity, violation of third-party rights, or another activity that could expose AhamVerse Technologies or others to unreasonable legal, ethical, security, or safety risk.
Clients are responsible for ensuring that their intended use of products and services complies with applicable laws, regulations, licenses, permissions, and industry requirements.
36. Website Use
You may use our website for legitimate informational, commercial, and communication purposes.
You must not knowingly:
- Use the website for unlawful or fraudulent activity
- Attempt unauthorised access to our systems
- Interfere with website security or operation
- Introduce malware or malicious code
- Attempt to exploit vulnerabilities
- Misrepresent your identity or authority
- Use automated methods in a manner that materially disrupts our services
- Copy or exploit protected website content contrary to applicable intellectual property rights
37. Website Content
We aim to keep information on our website accurate and current. However, website content may contain errors, omissions, outdated information, or descriptions that change over time.
Service descriptions, capabilities, portfolio information, timelines, images, specifications, and other website content are generally provided for informational purposes and do not constitute a binding project commitment unless incorporated into an applicable written agreement.
38. Third-Party Links
Our website or deliverables may contain links or integrations involving independent third-party websites, applications, platforms, documentation, or services.
We do not control independent third-party services and are not responsible for their content, availability, security, privacy practices, policies, or terms.
39. Disclaimer of Warranties
Except for warranties expressly provided in writing and rights that cannot legally be excluded, our website and services are provided subject to the applicable agreed specifications and terms.
We do not warrant that every website, software system, third-party integration, network service, AI system, hardware prototype, or external platform will operate without interruption or error under every possible condition.
Nothing in these Terms excludes warranties, guarantees, or statutory rights that cannot lawfully be excluded.
40. Limitation of Liability
To the maximum extent permitted by applicable law, AhamVerse Technologies will not be liable for indirect, incidental, special, punitive, exemplary, or consequential losses arising from the use of our website, services, products, or deliverables, except where such limitation is prohibited by law.
This may include loss of profits, revenue, business opportunity, goodwill, anticipated savings, or data where legally permissible and where such loss is indirect or consequential.
Where liability can lawfully be limited, any aggregate liability relating to a specific paid project may be limited as provided in the applicable project agreement.
Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited.
41. Indemnification
To the extent permitted by applicable law and subject to any applicable project agreement, you agree to be responsible for claims, losses, or expenses arising from your unlawful use of our services, material breach of these Terms, or materials and instructions supplied by you that infringe third-party rights.
Any project-specific indemnification obligations may be defined more precisely in the applicable written agreement.
42. Force Majeure
Neither party should be treated as responsible for delay or failure caused by circumstances beyond its reasonable control, subject to applicable law.
Such circumstances may include natural disasters, fire, flooding, severe weather, war, civil disturbance, government restrictions, strikes, widespread telecommunications failures, internet outages, power failures, supply-chain disruptions, epidemics, pandemics, transportation interruptions, or significant third-party infrastructure failures.
Where such an event occurs, affected timelines may be reasonably extended.
43. Data Protection and Privacy
Personal information collected through our website and business interactions is handled in accordance with our Privacy Policy and applicable requirements.
Please review our Privacy Policy for information about how we collect, use, store, disclose, and protect personal information.
44. Notices and Electronic Communications
Project communications, approvals, notices, quotations, invoices, and other business communications may be exchanged electronically through email, messaging platforms, project management systems, or other agreed communication channels.
Clients are responsible for maintaining accurate contact information and monitoring the communication channels used for the project.
45. No Waiver
Failure by AhamVerse Technologies to immediately enforce a provision of these Terms does not necessarily constitute a waiver of that provision or of our right to enforce it later.
46. Severability
If any provision of these Terms is determined by a competent authority to be invalid, unlawful, or unenforceable, that provision may be limited or removed to the minimum extent necessary while the remaining provisions continue to apply, to the extent permitted by law.
47. Assignment
Rights or obligations under a specific project agreement may not be assigned or transferred where such transfer would conflict with the applicable agreement or law. AhamVerse Technologies may use employees, contractors, specialists, suppliers, or service providers as reasonably necessary to perform agreed services while remaining subject to applicable contractual obligations.
48. Entire Agreement
For a specific engagement, these Terms together with the applicable quotation, proposal, Statement of Work, invoice, purchase order, service agreement, NDA, and any other written terms accepted by the parties may constitute the agreement applicable to that engagement, subject to the priority of documents stated in any specific written agreement.
49. Governing Law and Jurisdiction
Unless otherwise agreed in writing or required by applicable law, these Terms and the relationship between you and AhamVerse Technologies will be governed by the laws of India.
Subject to applicable law and any agreed dispute-resolution procedure, disputes arising in connection with these Terms or our services will be subject to the jurisdiction of the competent courts applicable to AhamVerse Technologies' registered or principal place of business in India.
50. Dispute Resolution
If a dispute arises, we encourage the parties to first attempt to resolve the matter through good-faith communication and discussion.
Where a project agreement provides a specific escalation, mediation, arbitration, or dispute-resolution procedure, that procedure will apply to the relevant engagement.
51. Changes to These Terms
We may update these Terms periodically to reflect changes in our services, products, business operations, technologies, commercial practices, or legal requirements.
Updated Terms will be published on this page with a revised "Last Updated" date. Changes to general website Terms will not automatically rewrite separately signed contractual terms unless permitted by the applicable agreement and law.
